The Evernorth Vote Unlocks a Nasdaq Wrapper for XRP

Armada’s XRPN stock jumped 27.13% after a reported Evernorth merger vote, while most of the 473 million XRP is already contributed, not new buying.

XRPN, the Nasdaq ticker already used by Armada Acquisition Corp. II, closed at $16.40 on September 30, up 27.13%, after a meeting listener said shareholders passed the Evernorth merger. XRP, the token the deal is built around, only bounced 1.89% to $1.51 after slipping below $1.47.

The vote, if the companies later file it, does not dump 473 million XRP onto the open market. It clears a public wrapper that can trade at a premium to cash in trust, while most of the planned stack is already contributed in kind.

XRPN Closed at $16.40 After the Vote

Armada is a Cayman Islands special purpose acquisition company, a listed cash shell sponsored by Arrington XRP Capital Fund, LP. It has been the public vehicle for Evernorth Holdings Inc., a San Francisco digital-asset treasury firm led by Asheesh Birla, a former Ripple executive. The combined company is expected to keep the XRPN ticker if the merger closes and Nasdaq’s listing tests are met.

The equity moved first. XRPN finished September 28 at $10.57, near its cash-in-trust value, then closed September 29 at $12.90 and September 30 at $16.40. The September 30 session traded as high as $16.99 and as low as $13.75 on 2.73 million shares. That is a treasury-stock premium forming on the shell before the operating company is even combined.

THE SEPTEMBER 30 PRINTS

  • XRPN close: $16.40, up 27.13% on the day, after a $12.90 close on September 29.
  • XRP print: $1.51, up 1.89%, after a dip below $1.47 and an earlier run toward $1.55.
  • The gap: The stock wrapper re-rated in two sessions; the token chopped between about $1.48 and $1.54 for hours.
  • The source of the pass: Bear Champ, an XRPL collaborator, wrote, “Listened in on the Armada/Evernorth merger vote, it passed.”

Neither Armada nor Evernorth had posted an 8-K with a vote tally by October 1. The meeting was set for noon Eastern on September 30 for holders of record as of August 20. A listener’s note is not a certified result, and the companies still have to close.

Most of the 473 Million Tokens Are Already Spoken For

Evernorth’s own June 30 note says the company already holds approximately 473 million XRP, and that the Armada deal had not yet closed. The figure that keeps getting rounded to 473 million is a closing assumption in the proxy, 473,276,430 XRP, assembled from contributions and one documented cash buy, not a fresh market order.

At the $1.51 XRP print, that stack marks to about $715 million. That is a token value, not a company value. It leaves out cash left in Armada’s trust, the $30 million note that funds only at close, warrants, expenses and however many shares remain after redemptions.

WHERE THE 473,276,430 XRP COMES FROM

Source XRP amount Share of the stack
Sponsor-related contribution 211,319,096 44.7%
Ripple contribution 126,791,458 26.8%
Cash purchase with $214 million 84,365,876.3625 17.8%
Related-party contribution 50,000,000 10.6%
Advance plus delayed contribution 800,000 0.2%

The only slice with a disclosed cash cost is the 84,365,876.3625 XRP bought with $214 million at an average $2.53657058, a lot Evernorth announced in November 2025. Against the $1.51 print, that cash lot sits 40.5% below its average cost. Assigning that same cost to the whole 473 million would be wrong, because Arrington, Ripple and the related-party line put coins in, they did not send a $2.54 bid into the tape.

Who Put the Coins on the Balance Sheet

Evernorth launched the public plan on October 20, 2025, with a business combination agreement dated October 19, 2025, among Armada, Evernorth, merger subsidiaries, Pathfinder Digital Assets LLC and Ripple Labs Inc. The launch statement targeted over $1 billion in gross proceeds, including $200 million from SBI Holdings, with Ripple, Rippleworks, Pantera Capital, Kraken, GSR and Ripple co-founder Chris Larsen also named.

Ripple is a strategic investor and a party to the combination, not a distant brand endorsement. Brad Garlinghouse, Stuart Alderoty and David Schwartz are listed as strategic advisors. Birla left Ripple’s orbit to run the treasury vehicle; Armada’s board is chaired by Michael Arrington, with Taryn Naidu as Armada’s chief executive.

THE NAMES BEHIND THE WRAPPER

  • Operating company: Evernorth Holdings Inc., Nevada corporation, 600 Battery Street, San Francisco, CEO Asheesh Birla.
  • Listed shell: Armada Acquisition Corp. II, Cayman SPAC, ticker XRPN, sponsored by Arrington XRP Capital Fund, LP.
  • Anchor cash: SBI Holdings at $200 million, inside a raise billed as more than $1 billion of gross proceeds.
  • Token backers: Ripple’s 126,791,458 XRP, the sponsor’s 211,319,096 XRP, and a 50 million XRP related-party line.
  • Other named investors: Pantera Capital, Kraken, GSR and Rippleworks, with Citigroup as sole private placement agent on the original launch.

The model is closer to a corporate Bitcoin treasury stock than to a spot ETF. Evernorth says it wants to grow XRP per share by lending, providing liquidity, running validators and using Ripple’s RLUSD stablecoin as a door into XRP-based DeFi. A holder of XRPN will own shares in that company, not a right to redeem a stated number of tokens.

A Korean Trust Lined Up $30 Million in Notes

On September 11, Evernorth signed a note purchase with NH Investment & Securities Co. as trustee of Kyobo AIM Corporate Finance General Private Investment Trust No. 3. Armada’s September 17 8-K describes $30 million of 4% convertible notes due 2031, payment-in-kind, expected to fund only when the merger closes.

Interest is added to principal instead of paid in cash. The notes convert at about $10.20 a share after the first year, with settlement in cash, stock or a mix at the holder’s election. Net proceeds of about $30 million are earmarked for general corporate purposes, including more XRP buys and other work inside the XRP economy. If the deal fails, the notes do not fund.

Today marks an important milestone toward completing our proposed business combination. We set out to build an actively managed XRP treasury with the transparency and governance public markets demand.

Asheesh Birla, founder and CEO of Evernorth, August 27 statement

Thirty million dollars is a thin extra bid next to a 473 million token book. At $1.51 it would buy about 20 million XRP, a small add-on, and only after closing. The note also inserts a senior unsecured claim that can turn into more Class A shares later, which is how treasury companies often fund the next buy.

Redemptions Will Decide the Cash That Survives

Public Armada holders had until 5 p.m. Eastern on September 28 to ask for their share of the trust in cash, two business days before the meeting. They could vote for the merger and still redeem. The proxy used an illustrative trust of about $241.9 million as of August 20, or about $10.52 a share. Armada’s June 30 quarter showed $241,164,305 in trust behind 23,000,000 Class A shares carried at $10.49 each.

How many of those 23 million shares were turned in has not been disclosed. Every redeemed share takes cash out of the company that would otherwise be available for expenses or more XRP. The contributed coins stay. The buying power does not.

The merger proposal needs a special resolution, at least two-thirds of votes cast by holders present or proxied. The sponsor owned 26.2% of the issued shares as of the proxy and had agreed to vote yes. If turnout is only a quorum, that block can carry the room. That is why a pass can coexist with a large cash exit.

WHAT WE KNOW

  • The meeting: Extraordinary general meeting at noon Eastern on September 30 for holders of record as of August 20.
  • The cash clock: Redemption requests were due by 5 p.m. Eastern on September 28.
  • The listener: Bear Champ said the vote passed; XRPN’s $16.40 close is a hard print, the tally is not.

WHAT IS UNCONFIRMED

  • The official count: No Armada or Evernorth 8-K with yes, no and abstain figures had appeared by October 1.
  • The redemption total: The number of the 23,000,000 public shares cashed out, and the trust dollars left, is still unknown.
  • The opening book: Final XRP, cash, note proceeds and share count at close can still move with those two figures.

Armada also flagged a $5.29 million working-capital deficit at June 30 and a hard stop: if no combination is done by November 22, 2026, the SPAC liquidates and public shares are paid out of trust. That deadline is the real fuse under the fourth-quarter close window.

The Merger Still Has to Close in the Fourth Quarter

Evernorth and Armada said on August 27 that the SEC had declared the S-4 registration statement effective on August 27, which let them mail the proxy and call the meeting. Effectiveness is permission to solicit. It is not a blessing of XRP, of XRPN or of the treasury model.

Closing is still listed for the fourth quarter of 2026, subject to the vote being formally delivered, other conditions being met or waived, and Nasdaq accepting the combined company. Common shares in the deal documents are priced at $10, a reference for the exchange math, not a forecast of where XRPN trades after close. It already closed at $16.40.

THE PATH FROM SHELL TO TREASURY STOCK

  1. May 2025: Armada raises about $230 million and lists 23,000,000 redeemable Class A shares.
  2. October 19, 2025: The business combination agreement is signed with Evernorth, Pathfinder and Ripple Labs.
  3. October 20, 2025: Evernorth announces the public launch and the $1 billion gross-proceeds target.
  4. November 4, 2025: Evernorth says a $214 million XRP buy takes purchased and committed tokens over 473,276,430.
  5. August 20, 2026: Record date for the vote; trust cash illustrated at about $241.9 million.
  6. August 27, 2026: The Form S-4 is declared effective.
  7. September 11, 2026: The $30 million PIK note is signed, disclosed on September 17.
  8. September 28, 2026: Redemption window ends at 5 p.m. Eastern.
  9. September 30, 2026: Shareholder meeting; a listener says it passed; XRPN closes at $16.40.

The next documents that change the story are an 8-K with the vote and a redemption figure, then a closing 8-K with the opening XRP balance and the cash that actually arrived. Until those land, the 473 million headline is still a proxy assumption sitting on top of a stock that has already re-rated.

XRPN at $16.40 is the market’s first price on a public XRP treasury. XRP at $1.51 is the asset inside it. The spread between those two prints is the deal the vote was really about.
